Terms of Service

1. The Service

ForgeLeads provides an AI-powered outreach and lead generation platform. The Service includes, among other things:

• Lead discovery and account/contact research, including AI-generated research and enrichment.
• Campaign and sequence design, email drafting (including AI-generated drafts), and an email approval queue.
• Outbound email sending and inbound email handling, including integration with Gmail (via OAuth), SMTP, and other providers you configure.
• Workspace and team features (e.g. members, roles) and billing and subscription management via Stripe.

You may be able to use your own AI provider keys (e.g. OpenAI, Anthropic, Google). Use of those providers is subject to their respective terms. We do not guarantee the accuracy or quality of AI-generated content; you are responsible for reviewing and approving all content before it is sent.

2. Account and workspace

You must provide accurate account information and keep it updated. You are responsible for maintaining the security of your credentials and for all activity under your account. If you create or administer a workspace, you are responsible for the workspace and for ensuring that your members comply with these Terms. We may offer free trials or limited free plans; eligibility and limits are described in the Service and may change.

3. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must comply with all applicable laws, including those governing email marketing, data protection, and privacy (e.g. CAN-SPAM, GDPR, or equivalent). You may not:

• Use the Service to send spam, unsolicited bulk or commercial email, or to harvest or collect information for such purposes.
• Use the Service in a way that violates any third-party terms (e.g. Google’s policies when using Gmail) or that infringes or misappropriates the rights of others.
• Attempt to gain unauthorized access to the Service, other accounts, or our or our providers’ systems or networks.
• Use the Service to distribute malware, phishing, or harmful or illegal content, or to harass or harm others.
• Resell, sublicense, or build a product or service that competes with the Service using our APIs or infrastructure in an unauthorized manner.
• Scrape, reverse-engineer, or automate access to the Service beyond the functionality we provide.

We may suspend or terminate your access if we reasonably believe you have violated these Terms or applicable law, or if your use poses a risk to the Service or others.

4. Payment and subscription

Paid plans and add-ons are billed through Stripe. By subscribing, you authorize us to charge the payment method you provide via Stripe according to the plan and billing cycle you select. Fees are generally charged in advance (e.g. monthly or annually). Free trials, if offered, may require a payment method; you may be charged when the trial ends unless you cancel. You may cancel or change your plan as allowed in the Service; cancellation typically takes effect at the end of the current billing period. We do not guarantee refunds unless required by law or as we otherwise specify; chargebacks or disputed charges may result in suspension or termination of access.

5. Your content and data

You retain ownership of the content and data you upload or create in the Service (e.g. contacts, campaigns, email content). You grant us a limited license to use, store, and process that content and data as necessary to provide, operate, and improve the Service and to comply with law. Our use of personal data is described in our Privacy Policy. We do not claim ownership of your content, and we do not use your content or data for advertising or to train third-party AI models in a way that identifies you or your business, except as you have agreed or as described in our Privacy Policy.

6. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AI-GENERATED OUTPUT MAY BE INACCURATE OR INAPPROPRIATE; YOU ARE RESPONSIBLE FOR REVIEWING AND APPROVING ALL CONTENT BEFORE SENDING. WE ARE NOT LIABLE FOR THE ACTIONS OF THIRD-PARTY SERVICES (E.G. EMAIL PROVIDERS, AI PROVIDERS) OR FOR YOUR USE OF THE SERVICE IN VIOLATION OF LAW OR THESE TERMS.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ForgeLeads AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR, IF GREATER, ONE HUNDRED U.S. DOLLARS).

8. Indemnity

You agree to indemnify and hold harmless ForgeLeads and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your content or data, your violation of these Terms or applicable law, or any dispute between you and a third party relating to your use of the Service.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access or your workspace if you breach these Terms, if we discontinue the Service or a plan, or for other operational or legal reasons. Upon termination, your right to use the Service ends. We may retain your data as described in our Privacy Policy or as required by law. Sections that by their nature should survive (e.g. disclaimers, limitation of liability, indemnity, governing law) will survive termination.

10. Changes to the Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. If changes are material, we may provide additional notice (e.g. email or in-app). Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.

11. General

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ForgeLeads regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a right does not waive that right. These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of laws principles. Any dispute shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
